These Terms & Conditions ("Terms", "Agreement") govern your use of the OneDayWeb website design services operated by Cardow & Co Pty Ltd (ABN 66 678 386 073), trading as OneDayWeb ("we," "our," "us", or "OneDayWeb").

By accessing our website at onedayweb.io and app.onedayweb.io, or purchasing our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

OneDayWeb operates from Queensland, Australia, and these Terms are governed by Australian law.

1. Service Description

1.1 What We Provide

OneDayWeb is a productized web design service that delivers professional, quality websites on guaranteed timelines. Our services are designed to provide businesses with a strong foundation website that can scale with future growth.

Core Service Features:

  • Professional website design and development
  • Webflow-based website creation
  • Fast turnaround delivery (timelines calculated based on project scope)
  • Real-time project tracking via client dashboard
  • Asset collection and brand implementation
  • Transfer to client's Webflow account or hosting setup

Starting Price: $997 AUD for base 1-page website package, with additional features and pages available as add-ons.

1.2 What's NOT Included

Unless explicitly purchased as add-ons, the following are NOT included in our service:

  • Hosting & Domain Names: Clients must arrange their own hosting and domain registration, or pay for hosting if the website remains on our Webflow account
  • Content Creation: We implement content you provide; we do not write copy, create images, or produce videos (unless explicitly purchased)
  • Revisions: The base service delivers one completed website based on your Project Brief; revisions must be pre-purchased or paid for separately after delivery
  • Ongoing Maintenance: Post-delivery updates, content changes, or technical maintenance require separate arrangements
  • Large Ecommerce Sites: Our model is not designed for extensive product catalogs or complex ecommerce functionality
  • Custom Web Applications: We build websites, not custom software applications or web apps with complex backend functionality

1.3 Service Scope Limitations

OneDayWeb is optimized for:

  • Small to medium business websites (1-10 pages)
  • Portfolio and showcase websites
  • Service-based business sites
  • Simple product/ecommerce sites (limited catalog)
  • Landing pages and marketing sites

We do NOT support:

  • Large-scale ecommerce platforms (100+ products)
  • Custom web applications or SaaS platforms
  • Membership sites with complex user authentication
  • Sites requiring custom backend development
  • Integration with legacy or proprietary systems (unless explicitly agreed)

If your project falls outside this scope, we reserve the right to decline the project or propose an alternative solution.

2. Ordering Process & Project Timeline

2.1 Project Configuration & Booking

  1. Build Your Project: Use our Project Builder to configure your website package, selecting features, add-ons, and timeline preferences
  2. Select Timeline: Choose your project start date based on available capacity slots
  3. Calculate Deadline: Your guaranteed deadline is automatically calculated based on your project scope (measured in hours from start time)
  4. Complete Checkout: Provide contact details and payment information via Stripe Checkout
  5. Receive Access: After payment, you'll receive authentication access to your client dashboard

2.2 Timeline Calculation

Project timelines are calculated in hours based on scope:

  • Base Package: 24 hours (1 day)
  • Additional Features/Pages: Add time based on complexity (calculated automatically)
  • Example: A 3-page website with contact form and basic animations might have a 48-hour (2-day) timeline

Timeline starts when you complete your Project Brief, NOT at payment.

2.3 The Project Brief Requirement

After payment, you must complete "The Project Brief" (also referred to as "The Briefcase"), which collects:

  • Business Information: Industry, description, target audience, competitors
  • Brand Assets: Logo files, brand guidelines, photos, videos
  • Website Content: Page content, key messages, calls to action
  • Additional Instructions: Special requests or preferences

CRITICAL DEADLINE: You must complete the Project Brief within one-third (1/3) of your project timeline to maintain the money-back guarantee.

Examples:

  • 24-hour project: Brief due within 8 hours of payment
  • 48-hour project: Brief due within 16 hours of payment
  • 72-hour project: Brief due within 24 hours of payment

Failure to meet this deadline:

  • ❌ You lose the money-back guarantee (see Section 3)
  • βœ… Your project will still be completed and delivered (but may be after the original deadline)
  • βœ… No refund is owed, even if the deadline is missed

2.4 Countdown Timer

Once you complete the Project Brief, the countdown timer officially starts. Your guaranteed deadline is calculated from this moment (not from payment time).

Example:

  • Payment: Monday 10:00 AM AEST
  • Brief Completed: Monday 2:00 PM AEST (within 8-hour window βœ…)
  • Project Timeline: 24 hours
  • Guaranteed Deadline: Tuesday 2:00 PM AEST

3. Money-Back Guarantee

3.1 Our Guarantee Promise

If we miss your guaranteed deadline, you get a 100% refund AND you keep the website.

This guarantee applies ONLY if:

  1. βœ… You completed the Project Brief within the required timeframe (1/3 of project timeline)
  2. βœ… You provided all requested information, assets, and content
  3. βœ… You responded to any clarification requests from our team within 4 hours
  4. βœ… The deadline was missed due to our failure to deliver, not external factors (see Section 3.3)

3.2 What the Guarantee Does NOT Cover

No refund is provided for:

  • ❌ Dissatisfaction with the completed work: If we deliver on time and to the scope agreed in your Project Brief, the payment is final (see Section 4 for revision options)
  • ❌ Late Project Brief submission: If you don't complete the Brief within 1/3 of timeline, the guarantee is void (project still delivered, but no refund for late delivery)
  • ❌ Client delays: If you fail to respond to requests for clarification, provide missing assets, or approve handover within reasonable timeframes
  • ❌ Scope changes: If you request changes to the original Project Brief during the build process
  • ❌ Force majeure events: Natural disasters, internet outages, service provider failures beyond our control

3.3 Deadline Definition

"Delivery" for the purposes of the guarantee means:

This does NOT include:

  • ❌ Time taken for you to review and approve the website
  • ❌ Time taken to complete handover/transfer process
  • ❌ Waiting for your hosting or Webflow account setup
  • ❌ Any revision rounds (revisions are separate from initial delivery)

Example:

  • Deadline: Tuesday 2:00 PM AEST
  • We deliver at: Tuesday 1:45 PM AEST βœ… Guarantee met
  • You review and approve: Wednesday 10:00 AM AEST (your timeline, not ours)
  • Handover completed: Wednesday 11:00 AM AEST (your timeline, not ours)

3.4 How to Request a Refund

If you believe we have missed your guaranteed deadline and you meet the eligibility criteria:

  1. Contact Support: Email info@onedayweb.io within 48 hours of the missed deadline
  2. Provide Evidence: Include your project ID, deadline timestamp, and any relevant communication
  3. Await Review: We will review your claim within 2 business days
  4. Refund Processing: If approved, refunds are processed within 5-10 business days via Stripe (to your original payment method)

Disputes: If you disagree with our refund decision, refer to Section 14 (Dispute Resolution).

4. Revisions & Modifications

4.1 Revisions NOT Included in Base Service

IMPORTANT: The base OneDayWeb service is a one-shot delivery model:

  • You provide the Project Brief with all information, content, and assets
  • We build your website based on that Brief
  • We deliver the completed website at the deadline

The guaranteed timeline does NOT include revision rounds.

4.2 How to Get Revisions

If you want changes after the initial delivery, you have two options:

Option A: Pre-Purchase Revision Rounds (During Booking)

  • Add "Revision Rounds" during project configuration in the Project Builder
  • Each round allows one set of changes/feedback
  • Adds time to your project timeline (calculated automatically)
  • More cost-effective than hourly revisions

Option B: Post-Delivery Hourly Revisions

  • Request changes after project completion
  • Billed at our standard hourly rate (contact us for current rates)
  • Invoiced separately via Stripe
  • Timeline agreed upon request

4.3 What Counts as a Revision vs. Scope Change

Minor Revisions (covered in purchased revision rounds):

  • Text/content changes
  • Color or font adjustments
  • Layout tweaks within existing design
  • Image replacements

Major Scope Changes (requires new quote):

  • Adding new pages not in original Brief
  • Changing website structure or navigation
  • Adding features not originally requested
  • Complete design overhaul

We reserve the right to determine if a requested change is a revision or a scope change.

4.4 Satisfaction with Base Delivery

If you are dissatisfied with the work delivered:

  • ❌ No refunds are provided if we met the deadline and followed your Project Brief
  • βœ… You can purchase revisions to make the changes you want
  • βœ… We stand by the quality of our work and will address any clear errors or implementation mistakes

Our service is designed to deliver quality, affordable websites quickly. We cannot offer refunds based on subjective dissatisfaction if we delivered on time and to scope.

5. Payment Terms

5.1 Pricing & Payment Processing

  • All prices are listed in Australian Dollars (AUD)
  • Payments are processed securely via Stripe
  • Full payment is required upfront before project work begins
  • We do not store credit card information (handled securely by Stripe)

5.2 What's Included in Your Payment

Your project payment covers:

  • Website design and development based on your Project Brief
  • Implementation of your provided content and brand assets
  • One initial delivery to guaranteed deadline
  • Project dashboard access and real-time tracking
  • Handover and transfer to your Webflow account (or hosting setup)

5.3 Additional Costs You May Incur

NOT included in project cost:

  • Webflow Hosting: If you choose to keep the site on our account, you must pay Webflow's hosting fees (charged separately by Webflow)
  • Domain Registration: You must purchase and configure your domain name separately
  • Revisions: Any changes after initial delivery (unless pre-purchased)
  • Third-Party Services: Email hosting, analytics tools, payment processors, etc.
  • Ongoing Maintenance: Future updates, content changes, or technical support

5.4 Refund Policy

Payments are non-refundable except:

❌ No refunds for:

  • Dissatisfaction with completed work (if delivered on time and to scope)
  • Change of mind after payment
  • Late Project Brief submission

5.5 Promotional Codes & Discounts

Partner Referral Codes:

  • "Give 5%, Get 5%" model: Use a partner's referral code to receive 5% off your project (minimum $50 AUD discount)
  • Partner earns 5% commission after your project is completed
  • Refund Impact: If you receive a refund, the partner does not receive their commission

Promotional Codes:

  • Discount codes may be offered for marketing campaigns or special events
  • Codes have expiration dates and usage limits (specified at time of offer)
  • Only one promotional code can be used per project
  • Cannot be combined with partner referral codes (higher discount applies)

5.6 Taxes & Fees

  • GST (Australia): GST is included in displayed prices if applicable under Australian tax law
  • International Payments: International credit card fees may apply (charged by your card issuer, not by OneDayWeb)
  • Stripe Fees: All Stripe processing fees are already included in our pricing

6. Intellectual Property & Ownership

6.1 Your Ownership Rights

Upon project completion and full payment, you own all rights to the completed website, including:

βœ… The compiled website code and structure
βœ… The complete Webflow project (once transferred to your account)
βœ… All implementations of your provided content and brand assets

You may:

  • Use the website for any lawful commercial purpose
  • Modify, update, or expand the website after handover
  • Transfer ownership to another party (e.g., if you sell your business)
  • Host the website on any platform (Webflow or export to another host)

6.2 What You Do NOT Own

You do NOT own the individual components, templates, or building blocks used to create your website, including:

❌ Webflow components or templates used in the build process
❌ Pre-built sections or modules adapted for your site
❌ Code snippets or functionality libraries
❌ Design systems or component libraries
❌ OneDayWeb's proprietary processes or methodologies

Why this matters: We may reuse components, layouts, or techniques across multiple client projects. You own the final compiled website, but not the reusable parts we used to build it.

6.3 Your Content & Brand Assets

You retain all rights to:

  • Your business name, logos, and trademarks
  • Your written content, copy, and messaging
  • Your photos, videos, and media assets
  • Your brand guidelines and visual identity

By providing these to us, you grant OneDayWeb:

  • A limited license to use them to build your website
  • Permission to display your completed website in our portfolio (unless you opt out)
  • The right to use your company name in our client list (unless you opt out)

Portfolio Opt-Out: If you do not want your website featured in our portfolio or case studies, email info@onedayweb.io during or after the project.

6.4 Third-Party Assets & Licenses

If your website includes third-party elements (stock photos, fonts, icons, plugins):

  • You are responsible for ensuring you have valid licenses for any third-party assets
  • We will use only assets you provide or free/open-source alternatives unless otherwise agreed
  • You indemnify OneDayWeb against any claims arising from unlicensed or infringing assets you provided

6.5 Confidentiality

We will keep confidential:

  • Your business strategies and proprietary information shared in the Project Brief
  • Your customer data or analytics (if shared during the project)
  • Any information marked as confidential or sensitive

We may disclose:

  • Information required by law or court order
  • General project details in portfolio case studies (unless opted out)
  • Anonymized data for business analytics and reporting

7. Website Delivery & Handover

7.1 Delivery Method

When your website is ready for review (at the guaranteed deadline), we will:

  1. Send Notification: Email you with a link to preview the completed website
  2. Provide Review Access: Grant you access to view the site in a staging/preview environment
  3. Request Approval: Ask you to review and approve the website
  4. Initiate Handover: Begin the transfer or hosting setup process

7.2 Review & Approval Process

You have 7 days from delivery notification to:

  • Review the completed website
  • Confirm it matches your Project Brief requirements
  • Approve the handover process

If you do not respond within 7 days:

  • We will proceed with handover using the default option (transfer to your Webflow account if provided, otherwise hosting setup on our account)
  • Project is considered accepted and completed
  • No refunds or revisions are owed after this acceptance period

7.3 Handover Options

At project completion, you must choose one of two options:

Option A: Transfer to Your Webflow Account (Recommended)

  • We transfer the complete Webflow project to your Webflow account
  • You need: An active Webflow account (free to create)
  • You pay: Webflow's hosting fees directly to Webflow (based on your site plan)
  • You control: Full ownership and editing access to your site

Option B: Host on OneDayWeb's Webflow Account

  • The website remains on our Webflow account
  • You pay: Hosting fees to OneDayWeb (we invoice you for Webflow's costs)
  • We manage: Technical hosting and Webflow account management
  • You get: Published website on your custom domain (you provide the domain)

We recommend Option A for full control and long-term cost savings.

7.4 Domain & DNS Setup

Domains are NOT included in our service. You must:

  1. Purchase your domain name separately (from providers like Namecheap, GoDaddy, Cloudflare, etc.)
  2. Provide us with DNS access or follow our DNS configuration instructions
  3. Allow 24-48 hours for DNS propagation after configuration

We can help with DNS setup instructions, but we do not:

  • Purchase domains on your behalf
  • Manage domain renewals
  • Provide email hosting (you need a separate email provider)

7.5 Hosting Fees (If You Choose Option B)

If your website remains on our Webflow account:

  • Invoicing: We will invoice you monthly/annually for Webflow hosting costs (pass-through pricing, no markup)
  • Webflow Pricing: Based on Webflow's current site plans (typically 14βˆ’14βˆ’42 USD/month depending on features)
  • Payment Due: Within 14 days of invoice (site may be suspended for non-payment)
  • Ownership: You can request transfer to your own account at any time

8. Client Responsibilities & Obligations

8.1 Timely Project Brief Submission

You must complete the Project Brief within 1/3 of your project timeline (see Section 2.3).

Failure to do so:

  • ❌ Voids the money-back guarantee
  • ⚠️ May delay your project delivery
  • βœ… Your project will still be completed (but guarantee does not apply)

8.2 Providing Complete & Accurate Information

You must provide:

βœ… Accurate Business Information: Business name, industry, target audience
βœ… Complete Content: All text, copy, and messaging for your website pages
βœ… Brand Assets: Logo files (vector preferred), photos, videos in usable formats
βœ… Contact Information: Accurate email, phone, and business address
βœ… Competitor Examples: Websites you like/dislike (helps guide design direction)

Incomplete or inaccurate information may:

  • Delay your project
  • Result in rework or additional costs
  • Impact the quality of the final website

8.3 Responding to Clarification Requests

If we need additional information during the build process:

  • You must respond within 4 hours (during Australian business hours: 9 AM - 5 PM AEST)
  • Failure to respond may delay your project and void the guarantee
  • We will attempt to contact you via email and dashboard messaging

8.4 Acceptable Use & Content

You are responsible for ensuring:

βœ… All content is lawful and does not infringe on third-party rights
βœ… You have licenses for any third-party images, fonts, or assets
βœ… Content complies with Australian law and international standards
βœ… Content is not defamatory, obscene, or violates intellectual property

We reserve the right to refuse service if:

❌ Your business operates in prohibited industries (illegal activities, adult content, gambling without proper licenses, etc.)
❌ You provide false or misleading information
❌ You engage in abusive or threatening behavior toward our team

8.5 Cooperation During Handover

You must:

βœ… Provide domain and DNS access (if you want site published to custom domain)
βœ… Respond to handover emails and instructions within 7 days
βœ… Complete any required verification or authorization steps

Delays in handover do not extend the project guarantee or timeline.

9. Webflow & Third-Party Services

9.1 Webflow Platform Dependency

OneDayWeb websites are built using Webflow, a third-party website design and hosting platform.

This means:

βœ… Your website is built with a professional, industry-standard tool
βœ… You can edit and manage your site after handover (with Webflow's visual editor)
βœ… Webflow provides enterprise-grade hosting, security, and performance

BUT:

⚠️ We are not responsible for Webflow's service availability, pricing changes, or platform updates
⚠️ Webflow's terms of service apply to your use of their platform
⚠️ Webflow may change features, pricing, or discontinue services (rare, but possible)

Webflow Alternatives:

  • You can export your site code from Webflow and host elsewhere (requires technical knowledge)
  • Exported sites lose Webflow's CMS and editing features (becomes static HTML/CSS/JS)

9.2 Third-Party Integrations

If your website includes third-party integrations (e.g., payment processors, email marketing tools, analytics):

  • You are responsible for creating and maintaining accounts with those services
  • We will integrate based on your provided credentials and API keys
  • We are not responsible for service outages, pricing changes, or discontinued features by third parties

Examples:

  • Stripe: For payment processing (you need a Stripe account)
  • Mailchimp: For email marketing (you need a Mailchimp account)
  • Google Analytics: For website traffic tracking (you need a Google account)

9.3 Software & Platform Updates

Webflow regularly updates its platform. We:

βœ… Build your site with current Webflow features as of delivery date
❌ Do NOT provide ongoing updates to your site after handover (unless separately contracted)
❌ Are NOT responsible if Webflow changes features or breaks functionality post-delivery

Post-Delivery Support:

  • You can purchase ongoing maintenance/update services separately
  • Webflow provides support documentation and community forums
  • You can hire Webflow experts or developers for future updates

10. Limitations of Liability

10.1 Maximum Liability Cap

Our total liability to you for any claims arising from our services is limited to the amount you paid for your project.

Example:

  • You paid $1,500 AUD for your website
  • Maximum we owe you in any dispute: $1,500 AUD (the refund amount)
  • We are NOT liable for additional consequential damages (see Section 10.2)

10.2 Exclusion of Consequential Damages

We are NOT liable for:

❌ Lost profits or business opportunities arising from delayed delivery
❌ Indirect or consequential damages (e.g., lost customers, reputational harm)
❌ Third-party claims related to your website content or business
❌ Damages from website downtime after handover (hosting is your or Webflow's responsibility)
❌ Loss of data (you are responsible for backups after handover)
❌ Incompatibility with third-party tools or future platform changes

10.3 No Warranty on Business Results

We guarantee delivery timelines, NOT business results.

We do NOT guarantee that your website will:

  • Generate sales, leads, or revenue
  • Rank highly in search engines (SEO takes time and ongoing effort)
  • Convert visitors into customers
  • Meet specific performance metrics (traffic, engagement, etc.)

We provide a professional website. Your business results depend on many factors beyond our control (your marketing, product quality, market conditions, etc.).

10.4 Website Performance & Uptime

After handover:

  • Webflow's SLA applies for hosting uptime and performance (typically 99.9% uptime)
  • We are NOT responsible for downtime, slow loading, or performance issues after delivery
  • You should monitor your site and report issues to Webflow support (if hosted with them)

Pre-Handover:

  • We ensure the site loads correctly in modern browsers (Chrome, Safari, Firefox, Edge)
  • We test on desktop and mobile devices
  • We cannot guarantee performance on outdated browsers (Internet Explorer, etc.)

10.5 Australian Consumer Law (ACL)

Nothing in these Terms excludes or limits:

βœ… Rights and remedies under the Australian Consumer Law (ACL) or other mandatory consumer protections
βœ… Guarantees that cannot be lawfully excluded (e.g., services provided with due care and skill)
βœ… Your right to seek redress through Australian consumer protection agencies

If Australian Consumer Law applies and we breach a non-excludable guarantee:

11. Partner Referral Program

11.1 How the Partner Program Works

OneDayWeb offers a "Give 5%, Get 5%" referral program for clients who have completed a project.

Eligibility:

  • You must have completed at least one OneDayWeb project
  • Partner status is unlocked automatically after project completion
  • You must onboard with Stripe Connect to receive payouts

How It Works:

  1. You receive a unique referral code (e.g., "JOHN123")
  2. You share your code with potential clients
  3. They use your code at checkout to receive 5% off their project (minimum $50 AUD discount)
  4. You earn a 5% commission on their project total (paid after their project is completed)

11.2 Partner Commissions

Commission Calculation:

  • 5% of the project total (before discounts)
  • Minimum discount applied to referee: $50 AUD (whichever is greater)

Example:

  • Referee books a $2,000 AUD project using your code
  • They receive: 100AUDdiscount(5100AUDdiscount(52,000)
  • You earn: 100AUDcommission(5100AUDcommission(52,000)

Payout Timing:

  • Commissions are paid only after the referred project is completed
  • No payout if the project is refunded (see Section 11.4)
  • Payouts are processed via Stripe Connect to your linked bank account

11.3 Partner Obligations & Conduct

As a partner, you agree to:

βœ… Promote OneDayWeb honestly and accurately
βœ… Not make false claims about our services or guarantees
βœ… Comply with Australian consumer protection and advertising laws
βœ… Not engage in spamming, misleading marketing, or unethical practices

We reserve the right to:

❌ Suspend or terminate your partner status for violations
❌ Withhold commissions if we detect fraudulent referrals
❌ Modify or discontinue the program with 30 days' notice

11.4 Refunds & Commission Impact

If a referred customer receives a refund:

❌ You do NOT receive the commission for that project
βœ… If commission was already paid, we may deduct it from future earnings
βœ… The customer still received their 5% discount (we absorb the cost)

Why? Commissions are only paid on successfully completed projects to ensure quality referrals.

11.5 Stripe Connect & Tax Reporting

Partner payouts are processed via Stripe Connect:

  • You must create a Stripe Express account (free) to receive payments
  • Stripe handles all payment processing and transfers to your bank account
  • You are responsible for reporting income to the Australian Taxation Office (ATO)
  • Stripe may issue tax documents (1099 or equivalent) if required by law

We are NOT responsible for:

  • Your tax obligations or reporting
  • Withholding taxes (you are an independent referrer, not an employee)
  • Bank fees or transfer delays caused by Stripe or your bank

12. Privacy & Data Protection

12.1 How We Use Your Information

We collect and use your personal information to:

13. Termination & Cancellation

13.1 Cancellation Before Project Starts

If you wish to cancel after payment but before completing the Project Brief:

  • Contact us at info@onedayweb.io within 48 hours of payment
  • Full refund available if no work has commenced (Project Brief not yet completed)
  • Partial refund may be available if work has started (minus work completed at our standard hourly rate)

After 48 hours:

  • Cancellations are subject to our refund policy (see Section 3)
  • If Project Brief is completed, the project timeline has started (no cancellation refunds)

13.2 Cancellation After Project Starts

Once the countdown timer starts (Project Brief completed), cancellations are not accepted.

Why?

  • We have allocated capacity and resources to your project
  • Your deadline slot prevents other clients from booking
  • Work has commenced based on your requirements

Your options if you no longer want the website:

  • Let us complete the project (you still receive the website)
  • Request a refund only if we miss the deadline (see Section 3)
  • Sell or transfer the website to another party

13.3 Our Right to Terminate Service

We reserve the right to terminate service and issue a full refund if:

❌ You violate these Terms (abusive behavior, illegal content, etc.)
❌ You provide false or fraudulent information
❌ You fail to cooperate or respond to reasonable requests
❌ Your project falls outside our service scope (and we cannot deliver quality work)
❌ Force majeure events make delivery impossible (natural disasters, pandemics, etc.)

If we terminate:

  • You receive a full refund of your project payment
  • You do NOT keep any work-in-progress (since termination is due to your violation or impossibility)
  • We are not liable for consequential damages (see Section 10.2)

13.4 Suspension for Non-Payment (Hosting Fees)

If you choose to host your website on our Webflow account (Section 7.3, Option B):

  • Failure to pay hosting invoices within 14 days may result in site suspension
  • We will notify you via email before suspension (7-day warning)
  • To restore service: Pay outstanding invoices plus any late fees
  • Continued non-payment (60+ days): Site may be permanently deleted

14. Dispute Resolution

14.1 Contact Us First

Before taking legal action or filing a complaint, please contact us:

We will:

  • Acknowledge your complaint within 2 business days
  • Investigate the issue and review all project records
  • Respond with a resolution or explanation within 7 business days
  • Work with you in good faith to find a fair solution

Most disputes can be resolved through direct communication.

14.2 Australian Consumer Law Protections

Your rights under Australian Consumer Law (ACL) cannot be excluded.

If you believe we have breached a consumer guarantee (e.g., services not provided with due care and skill):

  1. Contact the ACCC: www.accc.gov.au or call 1300 302 502
  2. File a complaint: With your state/territory consumer protection agency
  3. Seek independent advice: From a lawyer or consumer advocate

ACL Remedies May Include:

  • Refunds or compensation beyond what these Terms provide
  • Repair or re-performance of services
  • Damages for losses caused by our failure to meet guarantees

14.3 Governing Law & Jurisdiction

These Terms are governed by the laws of Queensland, Australia.

Any legal disputes must be resolved in:

  • Jurisdiction: Queensland courts
  • Applicable Law: Australian federal and Queensland state law

If you are located outside Australia:

  • You agree to submit to the jurisdiction of Queensland courts
  • Australian Consumer Law may still apply if you are an "Australian consumer" (even if located overseas temporarily)

14.4 Arbitration (Optional)

Before court proceedings, either party may propose binding arbitration:

  • Conducted under the Resolution Institute Arbitration Rules (Australia)
  • Arbitrator fees split equally between parties
  • Decision is final and binding (limited appeal rights)
  • More cost-effective than court litigation

Arbitration is optional - either party may proceed directly to court if preferred.

15. General Terms

15.1 Changes to These Terms

We may update these Terms from time to time to reflect:

βœ… Legal or regulatory requirements
βœ… Industry best practices

When we make changes:

  • "Last Updated" date will be revised at the top of this document
  • Material changes will be communicated via email to active clients
  • Continued use of our services after changes constitutes acceptance
  • Existing projects are governed by the Terms in effect at the time of purchase (not retroactively changed)

Previous Versions:

15.2 Entire Agreement

These Terms, together with:

...constitute the entire agreement between you and OneDayWeb.

This means:

  • Verbal promises or side agreements are not binding (unless documented in writing)
  • Any conflicting terms in your Project Brief are overridden by these Terms
  • Prior agreements or proposals are superseded by these Terms

15.3 Severability

If any part of these Terms is found to be invalid or unenforceable:

βœ… The remaining provisions continue in full force
βœ… The invalid provision is modified to be enforceable (if possible)
βœ… The overall intent and purpose of the Terms is preserved

Example: If a limitation of liability clause is deemed too broad, it will be narrowed to the maximum extent allowed by law (not thrown out entirely).

15.4 Waiver

Our failure to enforce any provision of these Terms does NOT waive our right to enforce it later.

Example:

  • If we don't charge late fees for one missed hosting payment, it doesn't mean we've waived the right to charge late fees in the future
  • We may choose to be flexible on a case-by-case basis without setting a precedent

15.5 Assignment

You may NOT transfer or assign your rights under these Terms without our written consent.

We may assign these Terms to:
βœ… A successor company (if we are acquired or merged)
βœ… An affiliated entity within our corporate structure
βœ… A third-party service provider (with your data protected under our Privacy Policy)

If we assign:

  • You will be notified via email
  • Your rights and protections under these Terms remain unchanged

15.6 Force Majeure

We are NOT liable for delays or failure to perform due to events beyond our reasonable control, including:

  • Natural disasters (floods, fires, earthquakes)
  • Pandemics or public health emergencies
  • Wars, terrorism, or civil unrest
  • Internet or telecommunications outages (beyond our network)
  • Third-party service failures (Webflow, Stripe, cloud providers)
  • Government actions or legal restrictions

In force majeure events:

  • We will notify you as soon as reasonably possible
  • Deadlines may be extended by the duration of the delay
  • If the delay exceeds 30 days, either party may cancel with a full refund

15.7 Relationship of Parties

You and OneDayWeb are independent parties.

❌ These Terms do NOT create:

  • An employment relationship
  • A partnership or joint venture
  • An agency or fiduciary relationship
  • Any authority to bind the other party to obligations

Partners in our referral program are independent contractors, not employees or agents.

15.8 Notices

All legal notices must be sent in writing to:
